"ICONE User Agreement" is an agreement entered into between ICONE COMPANY LIMITED (referred to as "we", "ICONE") and the user ( referred to as "you") regarding all products and/or services provided by ICONE to you. (referred to as "this Agreement").

If the product you ordered is out of stock at the time your order is placed, you may choose to ship it on a subsequent ship date. 6.10.Damage to the goods.

 6.11. Return Policy
To facilitate processing returns: Before returning any product, please contact an ICONE customer service representative to obtain a return authorization.  For all returns not related to the manufacturer's warranty, the return must be made within thirty (30) days of the date of invoice, be accompanied by the original invoice number, include a brief description of the reason for return, and be in the original packaging and in resalable condition state.  Certain products shipped directly from the supplier must be returned to the supplier after obtaining a return authorization from ICONE.  Once you have received return authorization, you will be informed where to return the product.  All electrostatic discharge (“ESD”) sensitive devices returned to ICONE may be subject to incoming inspection using ICONE’s ESD Work Instructions and the latest version of the ANSI/ESD S20.20 standard published by the American National Standards Institute and the EOS/ESD Association. ESD products that are not handled properly in accordance with standards will not be eligible for credits or refunds.  Return shipping costs must be prepaid or deducted from invoice credit.  Returns due to customer error may not receive a return authorization.  If ICONE purchases products from the manufacturer specifically for you, such products may be non-cancellable/non-returnable.  Parts designated as "non-cancellable/non-returnable" at the time of quote or sale are not returnable. By returning any product to ICONE or a supplier, as applicable, you represent and warrant that the returned product was purchased through the ICONE website and is not a counterfeit or otherwise substandard product. You acknowledge that counterfeit products are not eligible for return, refund, or exchange, and that ICONE will not accept any counterfeit products. You further agree that ICONE or Supplier, as applicable, may test any returned products to determine whether such products are counterfeit, substandard or otherwise violate these Conditions of Ordering. If ICONE or Supplier, in its sole discretion, suspects or determines that any returned product (including, but not limited to, any electronic components, assemblies, supplies and equipment contained therein) is counterfeit, substandard or otherwise violates these Ordering Conditions, ICONE or Supplier may: (i) report such issues to any applicable governmental or regulatory agency or any other applicable third party; (ii) quarantine such products for further testing or other analysis without offering any replacement products or refunds until it can be determined whether the product complies with these ordering conditions; (iii) if you send any counterfeit products to ICONE, you will be responsible for all costs, expenses and damages associated therewith, and you agree to indemnify ICONE in connection with such counterfeit products. and any claims and damages, including attorneys' fees and costs.

6.12.E&O products.
Excess inventory products include, but are not limited to, excess electronic components supplied directly from the product supplier or as part of a return through the franchisee's supplier-authorized channel. ICONE considers E&O products to be of superior quality; however, these products may contain certain defects, including but not limited to outdated date codes, or may be discontinued and/or obsolete by the manufacturer. E&O products are available in limited quantities and are not backordered. Manufacturer's warranty does not apply to E&O products. All sales of E&O products are final. If you purchase a product designated as an E&O product, you understand that the product is acquired by ICONE on a non-cancellable/non-returnable basis; therefore, your purchase of a product designated as an E&O product is non-cancellable/non-returnable but E&O Limited warranty excluded.

 6.13. Buyer’s representations as to the merchantability and fitness for any purpose of the products.
ICONE distributes products manufactured by third-party manufacturers. ICONE does not test the products to conform to any manufacturer's specifications and does not make any representations regarding the merchantability or fitness of the products for any purpose, whether or not ICONE is aware of such use. You agree to indemnify ICONE and the product manufacturer from all damages, costs and expenses that may be incurred, including, but not limited to, attorneys' fees and costs associated with any litigation or threatened litigation arising from use of the Products in unauthorized applications.

6.14. Disclaimer; Limitation of Liability.
A. Third-party testing.
ICONE reserves the right to have any allegedly defective E&O product inspected and tested by an independent third party to determine whether such product is indeed defective. The conclusions of such independent third party shall be final, conclusive and binding on both you and ICONE.

 B. Disclaimer of all other warranties. (i) ICONE makes no warranties or representations, express or implied, with respect to any product, and (ii) ICONE expressly disclaims all warranties of any kind, whether express, implied, statutory or otherwise, including, but not limited to, warranties of merchantability, fitness for a particular purpose , IMPLIED WARRANTIES OF TITLE AND NON-INFRINGEMENT. Products may be subject to patent, trademark, copyright, design and other rights of third parties. In no event shall ICONE be liable for any claim that such rights have been infringed. If an Order contains software or other intellectual property, such software or other intellectual property is provided to you by ICONE subject to any and all applicable intellectual property and user licenses of third parties. Nothing contained herein shall be construed as granting any right or license to use any software or other intellectual property in any manner or for any purpose not expressly permitted by such license agreement. Without limiting in any way the generality of the foregoing: i. Application Engineering. ICONE provides its application engineering solely as a convenience to ICONE customers. ICONE application engineering staff strives to provide useful information about our products. ICONE does not guarantee the accuracy, completeness or correctness of any information or advice provided, and ICONE assumes no responsibility or liability for any information or advice provided or for your reliance on such information or advice. You are solely responsible for analyzing and determining the appropriateness of any information or advice provided by ICONE Applications Engineering personnel or other ICONE personnel, and any reliance on such information or advice is entirely at your own risk. Without limiting the generality of the foregoing, any recommended alternative products or cross-references to parts are suggestions only, and ICONE does not guarantee the accuracy, completeness or correctness of such information or suggestions. d. Limitation of Liability. In no event will ICONE be liable to you or any third party for any indirect, incidental, special, consequential, punitive or exemplary damages (including, without limitation, lost profits, lost savings or business losses) arising out of or relating to any products. Loss of opportunity), even if icone has been advised of the possibility of such damages. Subject to the foregoing, in no event shall ICONE's liability related in any way to any product, assembly service or value-added service exceed the purchase price of the product (and, in the case of assembly services and value-added services, the liability of such products related to the Services), regardless of the legal theory of such liability, whether in contract, tort, warranty or otherwise. You acknowledge that the amounts payable for the Products are based in part on these limitations, and you further agree that these limitations shall apply notwithstanding the failure of any limited remedy of essential purpose. Some states/regions may not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you, but in any event shall apply to the fullest extent permitted by law. 6.15. Force majeure. ICONE is not responsible for delays in delivery or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to product distribution, material shortages, labor disputes, transportation delays, unforeseen circumstances, force majeure, other acts or omissions of parties, acts or omissions of civil or military authorities, government priorities, fires, strikes, floods, severe weather conditions, computer outages, terrorism, epidemics, epidemics, quarantine restrictions, riots, or war. ICONE's delivery or performance times will extend such delay period, or ICONE may, at its sole option and without liability, cancel any order or remainder thereof by notice to you. 6.16. Changes to Ordering Conditions. ICONE reserves the right to change the terms of these Ordering Conditions without prior notice. You are responsible for reviewing these Ordering Conditions before purchasing Products and purchasing Products following any changes to these Ordering Conditions constitutes your agreement to the then current Ordering Conditions. If these Ordering Conditions are changed or updated, the "Last Modified Date" will be updated accordingly. During the registration process, you are selected by default to receive emails from ICONE, which may be sent at its sole discretion, notifying you of changes to these Ordering Conditions and other ICONE policies. You can opt out of receiving these emails by opting out of this default. Notwithstanding anything to the contrary in these Ordering Conditions, ICONE may change these Ordering Conditions in its sole discretion, and such changes shall be binding on both you and ICONE.
